Terms of Service

1. Agreement

These terms govern access to the TSight OS platform, websites, mobile applications, and APIs (the "Service"), provided by The T&S Logistics Group, LLC ("we"). By creating an account or using the Service you agree to these terms on behalf of yourself and the organization you represent ("Customer").

2. Accounts and workspaces

Each Customer operates within its own workspace. Customer is responsible for its users, for keeping credentials confidential, and for all activity under its account. Accounts are for named users; credentials may not be shared. We may suspend access where we reasonably believe security or these terms are at risk.

3. Subscriptions and billing

Paid plans are billed in advance on the interval shown at purchase and renew automatically until cancelled. Fees are exclusive of taxes. Seat, load, and usage limits for the selected plan apply; exceeding them may require an upgrade. Except where required by law, fees are non-refundable, and cancellation takes effect at the end of the current term.

4. Customer data

Customer owns all data it submits to the Service. Customer grants us a limited licence to host and process that data solely to provide, secure, and support the Service. We handle personal data as described in our Privacy Policy. Customer is responsible for having the rights and consents needed for the data it uploads, including contact and driver information.

6. Third-party and connected services

The Service can connect to third-party systems such as mapping, tracking, messaging, CRM, and accounting providers. Those services are governed by their own terms, and Customer is responsible for its accounts with them. We are not liable for third-party outages, charges, or changes.

7. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party failures, and events outside our control may cause downtime. Support is provided by email during business hours unless a separate agreement says otherwise.

8. Not a carrier or broker of record

The Service is software. We do not transport freight, arrange transportation, act as a broker or carrier for Customer's shipments, or provide legal, tax, insurance, or customs advice. Rates, ETAs, route suggestions, document extraction, and AI-generated content are informational and must be reviewed by Customer before being relied on.

9. Warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of the Service is limited to the fees paid by Customer in the twelve months preceding the event giving rise to the claim.

11. Indemnity

Customer will defend and indemnify us against third-party claims arising from Customer data or from Customer's use of the Service in violation of these terms or applicable law.

12. Termination

Either party may terminate for material breach that remains uncured 30 days after written notice. On termination, access ends and Customer may export its data for 30 days, after which we may delete it in line with our retention schedule.

13. Changes

We may update these terms; material changes take effect 30 days after notice in the application or by email. Continued use after that date constitutes acceptance.

14. Governing law

These terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located there.
